Terms of Use
These terms apply when you use Social Media Connector, which is operated by The Network Ltd, a New Zealand company ("we", "us", "our"). By connecting an account or otherwise using Social Media Connector, you agree to these terms and to our Privacy Policy. If you do not agree, do not use it.
If you use Social Media Connector for an organisation, you confirm that you are allowed to accept these terms for that organisation, and "you" means both you and the organisation.
1. The service
Social Media Connector is the part of our customer relationship management (CRM) platform that links third-party accounts to your CRM workspace. It lets you connect Facebook, Instagram, TikTok and LinkedIn accounts and a Gmail or Outlook mailbox, so you can publish posts, run adverts, read results, reply to comments and messages, and send and receive email from inside the CRM.
2. Who can use it
You must be at least 18 years old and able to enter into a binding contract. Social Media Connector is for business use.
3. Your account
- Keep your sign-in details secret and do not share your account.
- Give us accurate information and keep it up to date.
- You are responsible for everything done through your account.
- Tell us straight away at support@thenetwork.co.nz if you think someone else has used your account.
4. Connected accounts
- Only connect accounts, pages, ad accounts and mailboxes that you own or are authorised to manage.
- When you connect an account, you authorise us to access it and act on it on your behalf, within the permissions you approve, to provide the features described in the Privacy Policy.
- Actions you take in Social Media Connector, including scheduled posts and automations you set up, are carried out on the connected account as if you had done them there yourself. You are responsible for them.
- You can disconnect an account at any time. See the data deletion page.
5. Your content
You keep all rights in the posts, images, videos, adverts, emails and other material you create or upload ("your content"). You give us a non-exclusive, worldwide, royalty-free licence to host, copy, format and transmit your content, only as needed to provide the service to you. The licence ends when your content is deleted from our systems.
You confirm that:
- you own your content or have every right and permission needed to use it;
- you have a lawful basis to contact the people you email or message, and you honour unsubscribe requests;
- your content follows the law, including advertising, consumer, privacy, anti-spam and real estate rules that apply to you.
6. Advertising
Adverts you create are placed in your own ad accounts. The advertising platform charges you directly for ad spend, and you are responsible for it, including spend from campaigns you scheduled or automated. Each platform reviews adverts under its own rules and may reject or remove them. Results shown in Social Media Connector come from the platform and may differ from the platform's final billing figures.
7. Acceptable use
You must not use Social Media Connector to:
- break any law, or any rule of a connected platform;
- publish or send content that is unlawful, misleading, defamatory, harassing, hateful, sexually explicit, or that infringes someone else's rights;
- send spam or unsolicited bulk messages;
- collect or scrape data about other people, or build profiles of them, beyond what you need to answer their comments and messages;
- impersonate anyone, or misrepresent who is behind a post or advert;
- create fake engagement, or evade a platform's rate limits, review or enforcement;
- probe, disrupt or overload our systems, bypass security or access controls, or introduce malware;
- copy, resell, reverse engineer or build a competing product from the service.
8. Third-party services
Social Media Connector works with services run by other companies. Your use of each one is also governed by that company's own terms and policies, which you must follow, including:
- Meta: Facebook Terms of Service, Instagram Terms of Use and Advertising Standards
- TikTok: Terms of Service and Community Guidelines
- LinkedIn: User Agreement and Professional Community Policies
- Google: Terms of Service
- Microsoft: Services Agreement
We do not control these services. They may change, limit or withdraw features or access at any time, and a feature of Social Media Connector that depends on them may then change or stop working. Social Media Connector is not endorsed by or affiliated with Meta, TikTok, LinkedIn, Google or Microsoft. Their names and logos belong to them.
9. Fees
Social Media Connector is included in your CRM subscription. Subscription fees, billing and refunds are covered by the agreement under which you or your organisation subscribed to the CRM.
10. Our intellectual property
We and our licensors own the service, including its software, design, text and trade marks. We give you a limited, non-exclusive, non-transferable right to use it for your business while these terms apply. Nothing else is licensed to you. If you send us feedback, we may use it without any obligation to you.
11. Availability and changes
We work to keep Social Media Connector available, but we do not promise it will be uninterrupted or error free. We may change, add or remove features, and we may carry out maintenance that makes it unavailable for a time. We will give reasonable notice of a change that materially reduces what you can do, where we can.
12. Disclaimers
To the extent the law allows, Social Media Connector is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not promise that a post, advert, reply or email will be delivered, published or approved by a third-party service, or that figures supplied by a third-party service are accurate.
You use Social Media Connector for the purposes of trade. To the extent the law allows, the Consumer Guarantees Act 1993 and sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply. Nothing in these terms limits any right you have that cannot lawfully be limited.
13. Liability
To the extent the law allows:
- we are not liable for loss of profit, revenue, business, goodwill or data, for ad spend, or for any indirect or consequential loss;
- we are not liable for the acts or omissions of a third-party service, including the suspension, restriction or closure of your account on that service;
- our total liability to you for all claims in any 12-month period is limited to the fees you paid us for the CRM in that period.
14. Indemnity
You will compensate us for any loss, cost or claim brought by someone else that arises from your content, from your use of a connected account, or from your breach of these terms or of a third-party service's terms.
15. Suspension and ending
- You can stop using Social Media Connector at any time by disconnecting your accounts.
- We may suspend or end your access if you breach these terms, if a third-party service requires us to, or if we need to in order to protect the service or other people. Where we reasonably can, we will tell you first and give you a chance to put things right.
- When your access ends, we delete the access tokens for your connected accounts. Other data is handled as set out in the Privacy Policy.
- Sections 5, 10, 12, 13, 14 and 17 continue to apply after your access ends.
16. Changes to these terms
We may update these terms. The date at the top shows when they last changed. If a change is material, we will tell you in the CRM or by email before it takes effect. If you keep using Social Media Connector after a change takes effect, you accept the updated terms.
17. Governing law
These terms are governed by the laws of New Zealand. The New Zealand courts have non-exclusive jurisdiction over any dispute. If part of these terms cannot be enforced, the rest still applies.
